User Agreement

1. Acceptance of Terms

Use of the Service is conditioned on acceptance of this Agreement and referenced policies (Privacy Policy, Content Policy). If you do not agree, discontinue use.

2. Eligibility

You must be at least 16 years old and have legal capacity to enter this Agreement. If using on behalf of an organization, you represent you have authority to bind it.

3. Accounts & Security

• Provide accurate registration information
• Maintain confidentiality of credentials
• Notify us of unauthorized access promptly
• We may suspend accounts for suspected abuse or policy violations

4. License & Permitted Use

We grant a limited, revocable, non-exclusive, non-transferable license to access and use the Service in accordance with this Agreement.

• No scraping, bulk harvesting, or automated extraction beyond documented APIs
• No reverse engineering except where legally permitted
• No circumvention of security or access controls

5. User Content & License Grant

You retain rights to content you submit. By submitting you grant ConvoVerse a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, adapt, and distribute your content for operation and promotion of the Service.

You represent you have necessary rights & permissions for submitted content.

6. Prohibited Use

• Policy violations or unlawful activity
• Infringement of intellectual property or privacy rights
• Malicious code, exploits, or security circumvention
• Automated spam or manipulation of ratings/reputation

7. Intellectual Property

Platform code, design, and trademarks remain the property of their respective owners. All rights not expressly granted are reserved.

8. Credits & Billing

• The Service runs on a ConvoCredit model. Credits are purchased through our payment processor (Stripe) and consumed when you generate AI responses.
• Credits come in two forms: subscription credits, included with a monthly plan, and top-up credits, bought as one-time packs. The two are tracked separately in your balance.
• Subscription credits are spent first, refresh at the start of each billing cycle, and expire at renewal (or after your plan's stated rollover window, where one applies). Top-up credits are spent only after subscription credits are exhausted and do not expire.
• All prices are displayed and charged in Euro (EUR). Customers paying with non-EUR cards may incur foreign-transaction fees imposed by their card issuer; such fees are not collected by us and are outside our control.
• Where applicable, sales tax or VAT is calculated and added at checkout based on the billing address you provide.
• Credit costs vary by response tier (Quick, Balanced, Deep) and by the AI model selected. Built-in tools (such as web search, knowledge base, or code execution) may consume additional credits beyond the model response. Estimated costs are shown before submission.
• Credits are non-transferable and are tied to your account.
• On a paid subscription, the credits included with your plan are billed at our cost for AI usage: we take no profit margin on plan usage, and that rate covers only third-party payment-processing and currency-conversion costs. Top-up credits, and any usage beyond your plan's monthly allowance, are billed at our standard rate.
• Pricing may change with notice. Any credits purchased before a price change remain at their original value.

9. Refunds & Right of Withdrawal

• EU/EEA consumers - right of withdrawal. For distance purchases of digital content and services you generally have 14 days to withdraw. Because credits can be used immediately, when you purchase credits you expressly request that we begin supplying the service at once and you acknowledge that you lose your right of withdrawal once, and to the extent that, credits have been consumed.
• Unused credits. Where you have not yet consumed purchased credits, EU/EEA consumers may request a refund of the unused portion within 14 days of purchase. Refunds are issued to the original payment method.
• Subscriptions. You can cancel at any time from the billing portal; cancellation stops future renewals and takes effect at the end of the current period. Except where required by law, amounts already paid for the current period and credits already consumed are non-refundable, and unused subscription credits expire as described in Section 8.
• Service failures. If a charge resulted from a verified billing error or a failure on our side to deliver a paid response, contact us and we will correct it, including a refund or credit where appropriate.
• Statutory rights. Nothing in this section limits any mandatory consumer-protection rights you have under the law of your country of residence.

10. AI Services & Tools

• The Service provides access to multiple AI models from various providers. Model availability and capabilities may change without notice.
• Response tiers (Quick, Balanced, Deep) determine the depth of AI processing applied. Higher tiers consume more credits.
• Built-in tools (web search, knowledge base, code execution, and others) may be used during conversations. Some tools incur additional credit costs.
• AI-generated content may be inaccurate, incomplete, or misleading. You are responsible for verifying any information before relying on it.

11. Third-Party Services

The Service integrates third-party AI model providers (such as OpenAI, Anthropic, Google, and others) to generate responses. Your conversation content is sent to these providers to process your requests. Their respective terms and privacy policies govern their handling of that data. We also use Stripe for payment processing.

12. Termination

We may suspend or terminate access for any breach, abuse, or risk to the platform. You may cease use at any time; some data may persist in backups for a limited period.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS, OR NON-INFRINGEMENT. AI-GENERATED CONTENT MAY BE INACCURATE OR MISLEADING-USE JUDGMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVOVERSE AND ITS CONTRIBUTORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE.

15. Indemnification

You agree to defend and indemnify ConvoVerse against claims arising from your content, use of the Service, or violation of this Agreement or applicable law.

16. Changes to Agreement

We may modify these Terms. Material changes will be communicated; continued use after effective date constitutes acceptance.
